IEMA was incorporated in 1998 and is a not for profit organisation limited by guarantee. This means that all profits are re-invested into the company with the objective of increasing member value.
Our external relationships, mission and objectives are governed by our Memorandum of Association; whilst our internal operations are governed by our Articles of Association.
IEMA’s Governance Document is a much more detailed document, which describes our Governance Structure and includes the Terms of Reference for the Board and all Sub Committees, as well as the Memorandum and Articles of Association.
The Board of Directors provide entrepreneurial leadership of the Institute within a framework of prudent and effective controls, which enables risk to be assessed and managed. The Board delegate powers to various committees which are advisory in nature and operate under specific terms of reference.
There are two Board Sub Committees: Finance Committee and Remuneration Committee. Board members are selected to sit on these specialist Committees in accordance with their relevant skills and experience.
The Strategic Advisory Council is the key advisory body to the Board on long-term issues that will frame how the profession needs to develop in the future.
The Professional Standards Committee are responsible for oversight and scrutiny of IEMA’s Professional Standards activities and Policies. They ensure that the development and application of IEMAs professional standards, assessments and training, are global, valid and fair. They are also responsible for member conduct; acting as guardians of the code of practice and ensuring effective appeals and disciplinary processes are implemented.
